Sandos Solutions provides an AI-powered communications platform that enables automated phone calling, text messaging (SMS), and voicemail services through integration with third-party providers. Current features include:

• Real-time AI-powered inbound and outbound calling
• AI-powered SMS/text messaging conversations
• Automated voicemail campaigns
• Call recordings and transcripts
• Usage analytics and reporting
• Integration capabilities with third-party services

We reserve the right to modify, suspend, or discontinue the Services at any time, with or without notice.

2. Account Registration and Security

To access certain features, you must register for an account. You represent and warrant that:

• You are at least 18 years of age
• You have the legal capacity to enter into binding contracts
• All registration information is accurate and truthful
• You will maintain the confidentiality of your account credentials
• You accept responsibility for all activities under your account

3. Acceptable Use Policy

You agree NOT to use the Services for any illegal or prohibited activities including:

• Harassment, stalking, or threatening behavior
• Fraud, phishing, or financial scams
• Spam, unsolicited commercial messages
• Violations of the TCPA, HIPAA, or other regulations
• Telemarketing without proper consent
• System abuse, hacking, or malware distribution
• Content that infringes intellectual property rights

4. Intellectual Property Rights

The Services, software, and all content provided by Sandos Solutions are owned by or licensed to us and protected by intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes.

You retain all ownership rights to your Customer Data. By using the Services, you grant us a license to use, store, and process Customer Data solely to provide the Services.

The Services rely on third-party services including Twilio, OpenAI, and cloud providers. We are not responsible for third-party service failures or changes. Your use of third-party services may be subject to their separate terms and conditions.

AI-Specific Disclaimers: AI systems may produce unpredictable, inaccurate, or inappropriate outputs. You are solely responsible for reviewing and validating all AI-generated content before use.

You agree to indemnify and hold harmless Sandos Solutions from any claims, damages, and expenses arising from:

• Your use or misuse of the Services
• Your violation of these Terms or any applicable law
• Violations of TCPA, HIPAA, privacy laws, or recording consent laws
• Your Customer Data
• Your telecommunications activities through the Services

9. Term and Termination

You may terminate your account at any time by contacting us. We may suspend or terminate your access immediately for violations of these Terms or any reason at our discretion.

Data Retrieval: Upon termination, you have 7 days to retrieve your Customer Data. After this period, all data will be permanently deleted.

No Refunds: All fees are non-refundable except as required by law.

10. Dispute Resolution

Governing Law: These Terms are governed by the laws of the State of Texas.

Venue: If arbitration does not apply, proceedings will be brought exclusively in Harris County, Texas.

11. Modifications to Terms

We reserve the right to modify these Terms at any time. When we make changes, we will update the "Last Updated" date and notify you via email for material changes. Continued use constitutes acceptance of the revised Terms.

12. Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

13. Data Retention and Deletion

• Active account data is retained while your account is active
• Deleted data is permanently removed within 30 days
• Post-termination: 7 days to retrieve data before permanent deletion
• We may retain data as required by law or for legal defense

14. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between parties
• Assignment: You may not assign these Terms without our consent
• Severability: Invalid provisions will be modified to the minimum extent necessary
• Waiver: Failure to enforce any right does not constitute a waiver
• Force Majeure: Neither party is liable for delays due to causes beyond reasonable control
• Independent Contractors: The parties are independent contractors, not partners or agents
